The Board of Directors monitors corporate long-term strategy, evaluates risks, appoints auditors, and determines the employment and remuneration of the management team. The Feng Tay Board currently comprises nine directors and four independent directors and meets at least one time per quarter for one to two days at a time. Mr. Richard Chien-Hung Wang, aged 49, joined the board of directors of Feng Tay Company since 1994 and has served as chairman since March 2018. Mr. Wang joined Feng Tay Company in 1994. He served as Mold Tech Department manager, director, chief director, vice general manager, etc., and served as group president from 2001 to 2018.
Kevin Chien-Rong Wang, Director Deputy Chairman
Mr. Kevin Chien-Rong Wang, aged 46, has joined the board of directors of Feng Tay Company since 2003 and is currently the vice chairman of the company. Mr. Wang joined Feng Tay Company in 1999 and has held various positions and has been the general manager of the Second Business Division since 2004, leading the business development of casual footwear and sports equipment footwear.
Jeffrey Chao-Chi Chen, Director
Mr. Jeffrey Chao-Chi Chen, aged 56, joined Feng Tay Company in 1993. He was in charge of the Department of Production, Techniques, Quality Control, SOTAP, etc.; promoted to the position of general manager of the First Business Division since 2001 and is responsible for the footwear business of major customers, leading Feng Tay Company continuously to grow in the business of its major customers. Mr. Chen was elected as a director of the company in 2015 and has served as president of the group since March 2018.
Peter Dale Nickerson, Director
Mr. Peter Dale Nickerson, aged 62, has joined the board of directors of Feng Tay Company since 2008. From 1988 he has held several governance and management positions within the group subsidiary companies. He began his career with Nike, Inc and ultimately held the position of general manager for Nike, China. He has accumulated over 35 years of professional qualifications in the footwear industry. He has also served as a director of Cascade Corporation (NYSE:CASC), a company listed on the New York Stock Exchange, as well as numerous for-profit and not-for-profit enterprises. Mr. Nickerson is currently a director and chairman of numerous overseas subsidiaries of the Feng Tay Group including those in China, Vietnam, Hong Kong and India.
Hui-Ling Chen, Director
Ms. Hui-Ling Chen, aged 57, has joined the board of directors of Feng Tay Company since 2000 and has accumulated more than 15 years of management experience. She has long overseen the management of Feng Tay Company.
Shih-Jung Chen, Director
Mr. Shih-Jung Chen, aged 55, has joined the board of directors of Feng Tay Company as a supervisor since 1997 and has accumulated more than 20 years of experience. He is well-versed in the corporate development and risk management of Feng Tay Company and was elected as a director of the company in 2018.
Justin Hsi-Chin Tsai, Director
Mr. Justin Hsi-Chin Tsai, aged 66, has joined the board of directors of Feng Tay Company since 2012. Mr. Tsai formerly served as general manager of China Petrochemical Development Corporation and currently serves as director and general manager of Oriental Union Chemical Corporation.
Vincent Tsung-Ta Lu, Director
Mr. Vincent Tsung-Ta Lu, aged 44, has joined the board of directors of Feng Tay Company since 2012, served as a director of the Company from 2012 to 2015, and served as a supervisor of the Company during 2015 to 2018.
Mr. Lu previously served as financial analyst of Goldman Sachs Securities (Asia) and manager of the Taiwan Branch of the Crimson Investment Advisory (Cayman) Co., Ltd. He is also currently the supervisor of the subsidiary of Feng Tay Company.
Michael Yi-Hua Chung, Director
Mr. Michael Yi-Hua Chung, aged 58, joined Feng Tay Company's board of directors in 2018. Prior to this, Mr. Chung worked for Taiwan-listed company Hon Hai Precision Industry Co., Ltd. (“Hon Hai”) and served as the general manager of the iDPGB business group of Hon Hai from 2005 to 2013, was responsible for the iPhone and iPod business. He served as chief executive officer of F-TPK Holding Co., Ltd. from 2014 to 2017. Mr. Chung is also currently a director of KHL Venture Capital Co., Ltd. and AMB Technology Co., Ltd. and an independent director of Clientron Corp.
Kenbo How-Jen Huang, Independent Director
Mr. Kenbo How-Jen Huang, aged 71, joined the board of directors of Feng Tay Company as an independent director since 2015. Mr. Huang worked for Formosa Taffeta Co., Ltd., a listed company in Taiwan, from 1973 to 2018. He has held a number of positions, including department director, director, supervisor, and legal entity director’s representative of many subsidiaries of Formosa Taffeta Co., Ltd.
Michael Yu-Sheng Lu, Independent Director
Mr. Michael Yu-Sheng Lu, aged 58, was a supervisor of Feng Tay Company from 2006 to 2015. In 2018 he was elected as an independent director of the company.
Mr. Lu has a master's degree in accounting from Soochow University. He has more than 20 years of experience in accounting firms and is currently the director of FORMOSA Certified Public Accountant.
Lawrence Chung-Yi Lin, Independent Director
Mr. Lawrence Chung-Yi Lin, aged 53, served as a director of the Company from 2012 to 2015. In 2018, he was elected as an independent director of the company.
Mr. Lin holds a master of Laws degree from Georgetown University in the United States. He has more than 20 years of experience in law firms and is currently the head of Chuang Yue Attorneys at Law.
Scott Hsueh-Cheng Li, Independent Director
Mr. Scott Hsueh-Cheng Li, aged 56, has joined the board of directors of Feng Tay Company as an independent director since 2018. Prior to that, Mr. Li joined Arthur Andersen Certified Public Accountants in 1987 and became a partner of AA Taiwan in 1999 and a partner of Andersen Worldwide (AA is its member firm) in 2001. He served as the general manager of Deloitte & Touche. Mr. Li specializes in corporate strategy, performance management, enterprise process optimization and cost management systems, and corporate governance and corporate overall risk management.
Feng Tay established Audit Committee in 2018 to assist the board of directors in performing its duties of supervising the quality and integrity of the company's implementation of accounting, auditing, financial reporting processes and internal controls. The committee consists of all independent directors, one of whom is the convener and meets at least once a season. Feng Tay established Compensation Committee in 2012. The committee is responsible for evaluating the remuneration policy with respect to Board members, supervisors and the management team. The recommendations of the committee are used by the Board of Directors to make decision on remunerations. Composed of three members (one of them serving as chairman) appointed by the Board, the committee meets at least twice a year.
Internal auditing, covering all operation processes of the corporation and supervision and management of subsidiaries, proceeds according to an annual auditing plan authorized by the Board of Directors, which also determines the employment of the Auditing Director. Auditors, who faithfully perform their duties with detached, independent, objective and impartial attitudes, file audit reports to the Supervisors to correct flaws and irregular situations so that the internal control systems can be effectively sustained.
